Public offer contract

Under this Agreement, one party, the Seller, on the one hand, and any person who has accepted the terms of this Public Offer Agreement - the Buyer, on the other hand, hereinafter collectively referred to as the Parties, have entered into this Public Offer Agreement (hereinafter - the Agreement), addressed to an unlimited number of official the Seller's public offer to conclude a digital agency service purchase agreement with the Buyers, photos of which are posted in the appropriate section of the Website

https://behealth.com.ua/ Sellers who intend to sell services using the website https://behealth.com.ua/ and Buyers when purchasing services whose images are displayed on the relevant pages of the site accept the terms of this Agreement on the following.

 

1. GENERAL PROVISIONS

1.1. Contractual relations between the Seller and the Buyer are formalized in the form of a Public Offer Agreement. Clicking on the page of the website https://behealth.com.ua/ in the relevant section of the "PLACE ORDER" button means that the Buyer, regardless of status (individual, legal entity, individual entrepreneur), in accordance with the current international and Ukrainian legislation, having implemented the terms of the Public Offer Agreement, specified below.

1.2. The public offer contract is public, i.e. in accordance with Articles 633, 641 of the Civil Code of Ukraine, its conditions are the same for all Buyers regardless of their status (individual, legal entity, individual entrepreneur). Upon full agreement with this Agreement, the Buyer accepts the conditions and procedure for placing an order, payment and delivery of goods by the Seller, responsibility for an unscrupulous Order and for non-fulfillment of the terms of this Agreement.

1.3. This Agreement enters into force from the moment the Buyer clicks on the "PLACE ORDER" button, by which the Buyer agrees to purchase a service from the Seller, and is valid until the Buyer receives the service from the Seller and complete settlement with him.

1.4. To regulate contractual legal relations under the Agreement, the Parties choose and, if necessary, apply Ukrainian legislation. If the international treaty, the binding consent of which has been given by the Verkhovna Rada of Ukraine, establishes different rules than those established by Ukrainian legislation, the rules of the international treaty shall be applied.

 

2. TERMS AND DEFINITIONS

"Public offer contract" - a public contract, a sample of which is posted on the website https://behealth.com.ua/ and the use of which is mandatory for all Sellers, containing the Seller's offer to purchase a service, the image of which is posted on the Web -sites https://behealth.com.ua/, addressed to an unspecified circle of persons, in particular to Buyers.

"Accept" - acceptance by the Buyer of the seller's offer to purchase the service, the image of which is posted on the website https://behealth.com.ua/, by adding it to the virtual cart and sending the Order.

"Service" is an item of trade (floating or massage service), the purchase of which is offered by the seller on the website https://behealth.com.ua/.

"Purchaser" is any able-bodied natural person, legal entity, natural person-entrepreneur, in accordance with current international and Ukrainian legislation, who has visited the website https://behealth.com.ua/ and intends to purchase this or that service.

"Seller" is any legally competent natural person, legal entity, natural person-entrepreneur in accordance with current international and Ukrainian legislation, who are the owners or distributors of the service and with the help of the website https://behealth.com.ua/ intend to provide it sell.

"Order" - a duly executed and posted on the website https://behealth.com.ua/ the Buyer's application for the purchase of services addressed to the seller.

"Legislation" - norms established by Ukrainian or international legislation to regulate contractual relations under the Agreement.

 

3. SUBJECT OF THE AGREEMENT

3.1. The Seller undertakes, under the conditions and in the manner specified in this Agreement, to sell the service based on the Order placed by the Buyer on the relevant page of the Website (link to the website), and the Buyer undertakes, in the terms and in the manner specified in this Agreement, to buy service and pay money for it.

3.2. The Seller and the Buyer confirm that the current Agreement is not a fictitious or pretend transaction or an agreement made under the influence of pressure or deception.

3.3. The seller confirms that he has all the necessary permits for conducting business activities that regulate the scope of legal relations that arise and operate in the process of executing this Agreement, and also guarantees that he has the right to implement the service without any restrictions in accordance with the requirements of the current legislation of Ukraine. and undertakes to bear responsibility in case of violation of the Buyer's rights in the process of execution of this Agreement and implementation of the service.

 

4. RIGHTS AND OBLIGATIONS OF THE SELLER

4.1. The seller is obliged to:

○ comply with the terms of this Agreement
○ execute the Buyer's order in case of receipt of payment from the Buyer;
○ provide the Buyer with the service in accordance with the selected sample on the relevant page of the website https://behealth.com.ua/, the completed order and the terms of this Agreement;
4.2. The seller has the right to:

● unilaterally suspend the provision of services under this Agreement in case of violation by the Buyer of the terms of this Agreement.

 

Payment for service/goods

● The price of the service/goods is indicated in hryvnias and includes value added tax if the relevant Seller applies the general taxation system.
● The amount of the order consists of the cost of the ordered services/goods.
● The price of the service/product is indicated on the Site. In the case of an incorrect indication of the price of the service/goods ordered by the Buyer, the Seller informs the Buyer about this in order to confirm the Order at the corrected price or cancel the Order. If it is impossible to contact the Buyer, this Order is considered cancelled.
● The price of the service/goods on the Site can be changed unilaterally by the Seller. At the same time, the price of the service/goods ordered by the Buyer cannot be changed.

 

Payment for the service/goods is made by the Buyer:

● in cash upon receipt of the Order in the amount corresponding to the amount of the Order indicated on the Site, taking into account discounts;
● non-cash funds using bank cards when placing an Order in the amount corresponding to the amount of the Order indicated on the Site, taking into account discounts.
